ARTICLE VIII.  AMENDMENTS TO THE BYLAWS

   Section 1.  Any article of the Bylaws may be amended or
               repealed and any new article may be
               incorporated therein by a two-thirds vote of
               the membership present after all members of
               the Association have been notified in writing
               of the proposed change at least three (3)
               weeks prior to the meeting at which the
               changes are considered.  At the time of
               notification, a copy of the proposed amendment
               shall be attached.
